By purchasing VIP⁺ Channel Partner access, you agree to the following terms and conditions. Please read carefully before completing your purchase.

1. VIP⁺ PROGRAM OVERVIEW

The VIP⁺ Channel Partner Program grants you commercial resale rights to the Course 27 VIP Mega Pass and course library. You may resell access to customers at pricing you determine and keep 100% of the revenue you generate.

What's Included:

  • Access to the complete Course 27 course library (currently growing to 500 courses over the next 3-5 years)
  • Commercial resale rights to individual courses, course bundles, and the VIP Mega Pass
  • Quarterly Go High Level snapshot updates
  • Marketing assets for every course
  • Priority partner support
  • Access to private partner community
  • Quarterly partner strategy calls

2. COMMERCIAL RESALE RIGHTS

What You MAY Do:

  • Resell individual courses, course bundles, or the complete VIP Mega Pass to others and keep 100% of revenue
  • Set your own pricing (monthly, yearly, lifetime, bundles, à la carte)
  • Use all video lessons as-is in your learning platform
  • Add your logo watermark or branding overlay to video content
  • Mix and match lessons from different courses to create custom learning paths and bundles
  • Bundle courses into your coaching, consulting, or SaaS programs
  • Use courses privately within your own business ecosystem without rebranding
  • Deliver courses through your own platform (website, membership site, LMS, Go High Level, etc.)

What You MUST Do for Public Resale:

  • Rebrand all course covers and graphics to YOUR business before publicly selling or displaying courses
  • Rebrand marketing materials to your business before public use
  • Create new course titles that do not use "Course 27" branding
  • Provide all customer support for your customers
  • Handle all customer refunds, disputes, and service issues

What You CANNOT Do:

  • Edit, cut, trim, or repurpose the video lesson content itself
  • Break up lessons for YouTube, social media, TikTok, Instagram Reels, or short-form content platforms
  • Extract and use b-roll footage as standalone content (b-roll is licensed from Storyblocks and cannot be separated from lessons)
  • Use Course 27 branded materials (covers, graphics, logos) in public-facing sales
  • Publicly display "Course 27" branding when reselling to customers
  • Resell, transfer, or sublicense your VIP⁺ resale rights to others
  • Pass VIP⁺ commercial resale rights to your customers (they get access to courses only, not resale rights)

3. LICENSING DETAILS

Private Use (No Rebranding Required):

If you're using courses internally for your own team training, client onboarding within your business, or delivering to clients as part of your services (not publicly reselling as standalone products), you may use Course 27 branding as-is.

Public Resale (Rebranding Required):

If you're publicly selling or displaying courses as products (on your website, in a marketplace, as standalone offers), you MUST rebrand all course covers, graphics, titles, and marketing materials to YOUR business. Customers should not see "Course 27" branding.

Video Content Usage:

  • Video lessons must be used in their complete, original form
  • Our commercial licensing agreement with Storyblocks covers b-roll usage within complete lessons only
  • If you want to break up lessons or use b-roll separately, you must obtain your own Storyblocks license or create your own b-roll
  • You may add intro/outro slides with your branding
  • You may add your logo watermark overlay
  • You may NOT edit the lesson content itself

4. REVENUE & PRICING

You Keep 100% of Your Sales:

  • Set your own pricing for individual courses, bundles, or VIP Mega Pass resales
  • Offer monthly subscriptions, annual access, lifetime deals, or bundles
  • No revenue sharing with Course 27
  • No commission splits
  • You own the customer relationship

Pricing Restrictions:

  • You may NOT advertise prices significantly lower than Course 27's current pricing in public marketplaces where both offers appear side-by-side (to protect brand value)
  • You may offer your own promotions and pricing strategies to your audience
  • You may bundle with other services at any pricing

5. HighLevel SOFTWARE SNAPSHOT INTEGRATION

Quarterly Snapshot Updates:

  • Every quarter, Course 27 provides a snapshot file for Go High Level users
  • Import with one click to receive all new courses, updates, and materials
  • Snapshots include new courses, updated content, and latest marketing assets

Custom Menu Link:

  • VIP⁺ partners receive a custom white-labeled Knowledge Center menu link
  • Add to your Go High Level account for client access
  • Course 27 maintains and updates the Knowledge Center
  • Clients access help docs, training guides, and Feature Focus videos

Non-Go High Level Users:

  • If you don't use Go High Level, you can still access all courses through the Course 27 platform
  • Download and deliver courses through your own website, LMS, or membership platform
  • Marketing materials provided in downloadable formats

6. ANNUAL RENEWAL

VIP⁺ Renewal Terms:

  • VIP⁺ resale license must be renewed annually
  • Renewal fee: $1,500/year
  • Renewal invoice sent 30 days before your anniversary date
  • Due on the anniversary of your initial purchase date

What Happens if You Renew:

  • Maintain commercial resale rights
  • Continue receiving quarterly snapshot updates
  • Access to all new courses added to the library
  • Maintain priority partner support
  • Continue access to VIP Vault and all course resources

What Happens if You Don't Renew:

  • Your commercial resale license expires
  • You lose access to the VIP course library and VIP Vault
  • You may NOT make new sales to new customers
  • You may NOT access quarterly updates or new courses
  • You MAY continue using any course materials, marketing assets, or downloads you obtained during your active license period
  • Existing customers you sold to before expiration remain valid (you don't have to refund them)
  • You must cease all NEW marketing and sales activities using Course 27 content

Grace Period:

  • 15-day grace period after anniversary date
  • If payment not received within 15 days, resale rights and access are suspended

Reactivation:

  • If you don't renew but want to reactivate later, contact partner support
  • Reactivation requires full annual renewal fee ($1,500)
  • Access to courses added during your inactive period may require additional fees

6.5 UNDERSTANDING VIP MEMBER RENEWALS (YOUR CUSTOMERS)

When You Resell Individual Courses, Bundles, or the VIP Mega Pass:

You set your own pricing and renewal terms for your customers. However, it's important to understand how the underlying Course 27 VIP system works:

If YOUR customer's access is tied to Course 27's platform:

  • They will lose access to courses and the VIP Vault if their subscription lapses
  • They may keep materials they downloaded during active membership
  • This is standard for digital subscription products

Managing Customer Expectations:

  • Clearly communicate your renewal terms when selling
  • Decide if you'll offer lifetime access, annual renewals, or monthly subscriptions
  • If using Course 27's platform for delivery, align your renewal timing with our system
  • If using your own platform (Kajabi, Teachable, etc.), you control access completely

Your Responsibility:

  • YOU handle all customer renewal communications
  • YOU process customer renewal payments
  • YOU manage customer access to courses you've resold
  • Course 27 does not manage your customer relationships or renewals

7. CUSTOMER SUPPORT

Partner Responsibilities:

  • YOU provide all customer support for your customers
  • YOU handle all technical questions about accessing courses
  • YOU process all refunds and disputes
  • YOU manage customer relationships

Course 27 Support:

  • We support YOU (the partner), not your customers
  • Priority partner support via email
  • Access to partner community for best practices
  • Quarterly strategy calls for partners

Course Content Questions:

  • If your customers have questions about course content itself, you may direct them to Course 27 community resources
  • Your customers do NOT get direct access to Course 27 support

8. REFUND POLICY

VIP⁺ Investment ($2,500):

  • Due to the nature of digital products with immediate access and commercial resale rights, the $2,500 VIP⁺ investment is non-refundable
  • All sales are final
  • No refunds, exchanges, or chargebacks

Annual Renewal ($1,500/year):

  • Annual renewals are non-refundable
  • If you choose not to renew, simply don't pay the renewal fee
  • No automatic billing - you'll receive renewal reminders but must manually renew

9. INTELLECTUAL PROPERTY

Course 27 Retains Ownership:

  • Course 27 retains all intellectual property rights to course content, branding, and materials
  • You are granted a limited commercial license to resell, not ownership
  • Course 27 name, logo, and trademarks remain property of Course 27

Your Rebranded Materials:

  • You own the rebranded covers, graphics, and marketing materials you create
  • You may copyright your rebranded versions
  • You may trademark your course/program names

Third-Party Content:

  • Some course materials include third-party licensed content (stock footage from Storyblocks, etc.)
  • These licenses cover use within complete courses only
  • You may not extract and use third-party content separately

10. PROGRAM UPDATES & CHANGES

Course 27 May:

  • Add new courses to the library (included in your license)
  • Update existing courses (you receive updates via quarterly snapshots)
  • Modify course content for quality improvements
  • Update marketing materials and templates

Price Changes:

  • VIP⁺ pricing may change for new partners
  • Your renewal rate ($1,500/year) is locked in unless we provide 60 days written notice of changes
  • Existing partners are grandfathered at current renewal rates

Content Removal:

  • In rare cases, Course 27 may remove a course from the library (e.g., outdated software training)
  • You may continue using courses you downloaded during your active license period
  • Removal of outdated content does not affect your license or renewal terms

11. PARTNER CONDUCT

Prohibited Activities:

  • Misrepresenting Course 27 products or making false claims
  • Spamming or using unethical marketing tactics
  • Violating intellectual property rights
  • Reselling or transferring your VIP⁺ license to others
  • Creating "reseller" or "sub-partner" programs (you cannot grant resale rights to others)
  • Publicly disparaging Course 27 or its products

Partner Community Standards:

  • Treat other partners with respect
  • Share best practices and support fellow partners
  • Maintain professional conduct in partner forums and calls
  • Follow all applicable laws and regulations in your jurisdiction

12. TERMINATION

Partner May Terminate:

  • You may cancel your VIP⁺ license at any time
  • No refund on initial $2,500 investment or annual renewal fees paid
  • You must immediately cease all commercial resale activities
  • You lose access to the VIP library and VIP Vault
  • Existing customer sales made during your active license remain valid

Course 27 May Terminate:

  • We may terminate your license for violation of these terms
  • We may terminate with 30 days notice for any reason
  • Immediate termination for: fraud, misrepresentation, unauthorized sublicensing, or prohibited activities

Upon Termination:

  • Commercial resale rights are revoked immediately
  • Access to partner dashboard, VIP library, VIP Vault, and community is removed
  • You must cease all marketing and sales activities using Course 27 content
  • No refund of fees paid
  • You may retain courses and materials downloaded during active license for personal use only (no resale)

13. LIMITATION OF LIABILITY

No Earnings Guarantee:

  • Course 27 makes no guarantee regarding your resale revenue
  • Your success depends on your marketing efforts, audience, and business model
  • Past performance by other partners does not guarantee future results

Liability Cap:

  • Course 27's total liability to you is limited to the amount you paid for VIP⁺ ($2,500)
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • This includes lost profits, lost revenue, or business interruption

14. INDEMNIFICATION

You agree to indemnify and hold harmless Course 27, its owners, employees, and affiliates from any claims, damages, losses, or expenses arising from:

  • Your resale activities
  • Your customer relationships and disputes
  • Your violation of these terms
  • Your violation of applicable laws or regulations
  • Any misrepresentation you make about Course 27 products

15. GOVERNING LAW

This agreement is governed by the laws of [Your State/Country]. Any disputes will be resolved in [Your County/Jurisdiction].

16. ENTIRE AGREEMENT

These terms constitute the entire agreement between you and Course 27 regarding the VIP⁺ Channel Partner Program. Any modifications must be made in writing and agreed upon by both parties.
